How to Form a Limited Company


First of all to form a limited company you will need to buy two key documents from a legal bookstore or stationery shop namely memorandum of association and articles of association.


The Memorandum of Association sets out the liability of the members of the company.


The memorandum of every company must state-


(a) The name of the company


(b) Whether the registered office of the company is to be situated in England and Wales, or Scotland;

The Articles of Association for a company, often simply referred to as the articles are the regulations governing the relationships between the shareholders and directors of the company, and are a requirement for the establishment of a company under the law of the UK. Together with the Memorandum or association they form the constitution of the company.


Secondly now that you have these two documents you will now need to download two forms from the companies house's website Form 10 & 12.

Form 10 is a form that contains the details of the Registered Office, Director and Secretary - names and addresses, dates of birth, nationality, occupation and other directorships held (in last 5 years).


Form 10 must be signed by each subscriber, or the Agent responsible for the company formation. It provides for a Company Secretary and two Directors. Companies House Form 10 Continuation sheets should be used to provide details of joint Secretaries and additional Directors.


Form 12 is another statutory form from Companies House associated with the incorporation of a new company. Form 12 confirms that all other registration requirements have been completed. It is a declaration of compliance with all the legal requirements involved in the forming of a new company.


Third step is to fill out both Form 10 & 12 and also the memorandum & articles of association and then have the documents witnessed by a legal person and signed and dated. You maybe required to pay a small charge for the persons service which should be no more tha.


Providing the company name you have chosen is available the process should be assuringly swift.


There will also be a charge for registering the company so if you are sending the documents via the post do not forget to send a cheque for the full amount or postal order. At the time of writing Companies House prices were: paper form electronically

For non UK citizens it's a great opportunity to do business in Europe and safe taxes. If one know how to set all this up they will get great "LEGAL" tax reduction or even no tax to be paid!

Why is UK good for none UK people, can you say if it is good for people doing business offline in Greece?
 
There are many tings to consider and take into consideration when you move / live in the UK as an foreigner. For instant if your business take place offshore you don't have to pay tax there for the next 7 years! It's good right? ;)
