@Barney2201 I did consider that in practice a management fee paid out of the UK Co. to Malta Co. would have the effect of reducing the UK Co. profit as much as one desired (in effect bypassing the corporation tax drag of distributing post-tax profits as a dividend), but I'm not clear on the HMRC...
