What is Nominee director and shareholder?

I'm worried about the nominee director to say I allow him to sign bank application on behalf of the company why don't he run with the money on the bank account? Mean what will stop him doing so?

At My point of view nominee director and shareholder works are mostly same there is no major difference between them.
