I am a Swiss resident/Citizen and planning to start a company to enter the EU market with a product that is manufactured in Germany. The Swiss subsidiary would do the planning/marketing/contracts, there is no manufacturing outside the EU.
The C Corp would have two shareholders, myself and one other person. I would be the director, the other shareholder would have no active role and f does not want to be visible in the Swiss Handelsregister for professional reasons, hence a Swiss GmbH would not work. A Swiss AG is too cost prohibitive as it's just one of several trial companies we want to evaluate.
Does the proposed structure make sense or is it overly burdensome to deal with subsidiary tax and accounting issues? Are there more elegant structures that would make sense?
