for bigger package they take 3000 euro, ahahaha.
answer for creator of topic:
registration of companies in serbia is very simple and there is no space so much for advices,
1. there is preduzetnik/enterpreneur - one owner of company who is responsible for debts of company, registration 1670 RSD = 15 euro, choice between paushal taxes or taxes on salary. company can be registered online if person has electronic certificate or personally in Business Registers Agency.
2. there is DOO = society with limited responsibility, they created rule in 2023 that DOO can be registered only online and that's stupid because many people don't have software for electronic certificate, but people can visit cops or post office and get electronic card reader and a NexU application for electronic signing and after that they can apply for registration of company at electronic government (through the Portal eID.gov.rs)
if you want just registration of DOO + stamp, any individual can do it for you, you can pay him how much you want, as i said, registration od DOO (society with limited responsibility) cost about 60 euro and production of stamp cost 20-30 euro, usualy they answer in 5 days if registration is accepted. anybody can download public files from agencija za privredne registre (agency for registration of companies) and he can adapt text to your needs (osnivacki akt = basic act of company - where is wrritten who is the owner and director and what is the role/job of director and so on)...
you just need to wait everal days that your person get card reader and software for electronic certificate and he must spend several hours to write sonivacki akt, basis act.
when agency accept your registration, i think they give you automatically
registration/corporate identification number,
taxpayer identification number (TIN),
VAT
M-A Form, i.e. a CERTIFICATE CONFIRMING SUBMISSION of the application for the compulsory social security of the founder who is also registered as the representative of the company.
you can read this in english and something more you find:
https://www.apr.gov.rs/services/eservices/e-registration-of-companies.4265.html
if I am in your place, I would pay somebody in serbia to register company for you in his name, he should be owner with zero or one share and you can be appointed as director to manage company and you own 99% shares or 100% if it is possible. so you manage company and he is just theoretically the owner.
DOO doesn't touch property of owners and directors if company get debts and problems, only company property can be confiscated.
by the way, virtual office for address of company in belgrade cost 30 euro per month and they can offer and more of you want to pay more but maybe in basic package they include letters and phone calls.
I don't think banks take money to let you you open business account, I know that my bank doesnt take money from me if I make business account. but I am not foreigner, maybe they have different policy for foreign citizens.
when i checked who are owners of some companies, I saw that majority of companies use bank account of intesa bank, but it depends what you prefer, there are different banks with different fees and credit possibilities for expansion of business, later.
DOO pays profit tax 15% and if there are dividends also the same 15% taxes, for foreigners it is not static 15% it can be bigger.
if DOO buys something from enterpreneur and this one didn't pass test of independence, doo will pay much bigger taxes for every transaction with enterpreneur.
The DOO cannot register period of passivity/rest, and accordingly you cannot expect that the tax and other obligations of the DOO will be equal to zero in the case you don't make business. process of liquidation of company is minimum 4 months.
basic capital for DOO is 100 RSD = 1 euro but you don't need to pay that during registration than later when you want.
if you need verification of some ocument because you don't speak serbian, notar takes 4-8 euro to put stamp on one document and translators are maybe 10 euro I didn't check long time but it is cheap. if some agent tries to take big money for notar and translator, he is cheating you that it is expensive....
later you need also accountant or bookkeeper and so on...
I can not say anything because you didn't say anything what kind of company you want to make in serbia, the nature of business and how many owners and directors, etc,....
I am just registered at this forum, this is my first message, i don't know can I publish links of companies that sell virtual office for 30 euro per month, I could check and prices for notar and translator if you need it, and publish links so you can pay everything personally instead that somebody takes from you 3000 euro for something that cost 10 times smaller ammount of money.
