Urgent Advice Required: Offshore Company in Belize

Hello,

I am looking for some urgent advice.

Twelve years ago my father set up an offshore company in Belize. It owns 100% of the shares of a European company I have inherited from him. The shares were in the name of nominee directors, although these were transferred to my father although I am unsure if they were ever transferred.

The offshore company was set up with an online website. When my father contacted them three years ago they were told the company had "lapsed" and needed reinstating. My father paid 2,500EUR and the lady said this would be done. When he followed up with them he was told the lady no longer worked for the company and that the company was still lapsed and not reinstated. They were asking for thousands more euros for this to be done, my father pushed back as he had emails confirming the work would be done when he transferred the money.

Due to personal circumstances I am now having to deal with this, and the company who set the company up are impossible to deal with or contact. When I ring, the person I deal with is always "out the office", and he has not replied to four of my emails.

The advice I need is:
- How can I take back control of the belize company without dealing with the company who set it up?
- If a belize company has lapsed, what happens to the shares they owned of a european company?
- I don't want to set up another offshore company, I simply want to regain control of the shares and own them, so I will own 100% of the shares of the European company.

Thank you for any advice - this is all new to me and I am trying to pick up from where my father left.

If the company has expired and been wound down/dissolved, there is nothing left to take control of, but you might be able to restore it.

You need to discuss with an attorney where the European company is incorporated. The company might effectively no longer exist (the shares being bona vacantia) and continuing to do business could be tantamount to fraud.

If the company has expired and been wound down/dissolved, there is nothing left to take control of, but you might be able to restore it.

Thank you for sharing those links - I can see that is has been struck off. Hopefully it can be restored. Thank you for your advice I will speak to our lawyer here in Europe.
