Hey there,
Now i am trying to create software dev (mobile apps) company with my Colombian partner, i am Spaniard.

First particular issue we are looking privacy. I read a lot about US LLC (new mexico) with operating agreement and looking to use relayfi.com as bank (guess is better than Mercury and wise)
Second issue I dont want to have a salary or withdraw money with a bank card since I want to have the funds in the company's bank account. My partner can get funds by billing his services to the company. And yes, distribute company dividends. Do you suggest open another company type in US?
I have heard of having a manager hired as head of the company for greater security and save against Spanish tax agency (the alien)

On the other hand,
I am analyzing the viability of a fantasy-style game app where users earn fiat money (I have not yet gotten to crypto). This could be a problem in Europe.
Do you recommend that we create this game with a US company or, on the contrary, do you recommend an offshore company?
How would the payment be managed in the Play Store and Apple Store?
And the refunds to the winners' credit cards?

Yes, US LLC in NM or WY are generally good for that.

You may be better off with a transparent LLC for the US side.

Yes, you better have the Columbian guy as director while you are just an investor.

Is it a casino? You may better collect the funds without Google or Apple taking their hefty share. Of course, it will be almost legal as a casino. Maybe better get the money out before your company bank accounts get blocked.

If it is high risk, you can as well move offshore as banking and credit card processing will be expensive in any case.

Just make sure that from your side you are 100% clean with Spain tax wise.

Nop, no a casino, is a skill game (fantasy sports) ... Chatgpt 4o is amazing on that sense. And Malta is best place to create that new company.

Many here. Do you have more details what the money is used for and how/when the company would get a positive cash flow?

For shady or gray area business I would personally go for a US LLC i.e. Wyoming, Delaware or New Mexico LLC at any time. You have all the option the EU company has as well that if it does not work you can easily get rid of it almost risk free.

You should listen to this post; it's the only right thing to do if you want to avoid trouble later on.

have you made any prospect or something that show the entire business plan, ROI and plans wit the venture?
